SupersededAuthorizing Certain Transactions for the Negotiation of and Entry Into Contingent Contracts for the Sale of Lukoil International GmbH and Related Maintenance Activities
Summary
General License 131F authorizes transactions prohibited by E.O. 14024 that are ordinarily incident and necessary to negotiating and entering into contingent contracts with Lukoil or its affiliates for the sale, disposition, or transfer of Lukoil International GmbH (LIG) and any entities in which LIG holds a 50 percent or greater interest. It also authorizes transactions necessary to the maintenance or wind down of operations, contracts, or other agreements of LIG Entities. Any contract for the actual sale must be made expressly contingent upon receipt of separate OFAC authorization. This license supersedes General License 131E dated April 29, 2026.
Authorized activities
- Negotiation of contingent contracts with Lukoil or its affiliates for the sale, disposition, or transfer of LIG Entities
- Entry into contingent contracts (including executory contracts, pro forma invoices, agreements in principle, bids, proposals, binding memoranda of understanding, or similar agreements) for the sale of LIG Entities
- Maintenance or wind down of operations, contracts, or other agreements of LIG Entities
- Use, debit, or credit of blocked accounts of LIG Entities for authorized maintenance or wind-down transactions
Conditions
Contracts for sale must be expressly contingent on separate OFAC authorization before performance. The license does not authorize: unblocking of any blocked property (except use of LIG Entity blocked accounts for maintenance/wind-down transactions); transactions involving persons blocked under RuHSR other than those described in paragraph (a), unless separately authorized; or transfer of funds to any person or account located in the Russian Federation.
