Summary

This license authorizes, through 12:01 a.m. EDT on September 19, 2026, transactions ordinarily incident and necessary to negotiating and entering into contingent contracts with Lukoil or its affiliates for the sale, disposition, or transfer of Lukoil International GmbH (LIG) and any entity in which LIG holds a 50% or greater interest (LIG Entities). It also authorizes transactions necessary to the maintenance or wind down of operations, contracts, or other agreements of LIG Entities through the same deadline. Blocked accounts of LIG Entities may be used, debited, or credited for authorized maintenance/wind-down transactions. This license replaces and supersedes General License No. 131H, dated July 24, 2026.

Authorized activities

• Transactions ordinarily incident and necessary to the negotiation of and entry into contingent contracts with Lukoil or its affiliates for the sale, disposition, or transfer of LIG Entities
• Transactions ordinarily incident and necessary to the maintenance or wind down of operations, contracts, or other agreements of LIG Entities
• Use, debit, or credit of blocked accounts of LIG Entities for authorized maintenance/wind-down transactions

Conditions

Contracts negotiated under paragraph (a) must be made expressly contingent upon the receipt of separate authorization from OFAC. The license does not authorize: (1) unblocking of property blocked under 31 CFR chapter V (except as allowed in paragraph (c)); (2) transactions otherwise prohibited by the RuHSR involving persons blocked under the RuHSR other than those described in paragraph (a), unless separately authorized; or (3) the transfer of funds to any person or account located in the Russian Federation.
