Summary

General License 131D authorizes transactions otherwise prohibited by E.O. 14024 that are ordinarily incident and necessary to negotiating and entering into contingent contracts with Lukoil or its affiliates for the sale, disposition, or transfer of Lukoil International GmbH (LIG) and its majority-owned subsidiaries. It also authorizes transactions necessary for the maintenance or wind down of operations, contracts, or other agreements of LIG Entities. Both authorizations are valid through 12:01 a.m. eastern daylight time, May 1, 2026. This license replaces and supersedes General License No. 131C dated February 26, 2026.

Authorized activities

  • Negotiation of contracts with Lukoil or its affiliates for the sale, disposition, or transfer of LIG or LIG Entities
  • Entry into contingent contracts for the sale, disposition, or transfer of LIG or LIG Entities
  • Maintenance of operations, contracts, or other agreements of LIG Entities
  • Wind down of operations, contracts, or other agreements of LIG Entities
  • Use, debit, or credit of blocked accounts of LIG Entities for authorized maintenance or wind-down transactions

Conditions

Any contract for the sale, disposition, or transfer of LIG Entities must be made expressly contingent upon receipt of separate OFAC authorization before performance. The license does not authorize: unblocking of property blocked under 31 CFR chapter V (except use of blocked accounts for maintenance/wind-down transactions); transactions involving persons blocked under the RuHSR other than LIG Entities, unless separately authorized; or transfer of funds to any person or account located in the Russian Federation.
